The following Terms and Conditions govern your use of the Site and your relationship with Ashton Associates Wales Limited ("we/us").

Please read these Terms and Conditions carefully. By using the Site you agree to be bound by these Terms and Conditions. Your use of this Site constitutes your acceptance of these Terms and Conditions that take effect from the date that you first used the Site.

We reserve the right to change these Terms and Conditions at any time by posting any changes on the Site. Any changes will take place on the date that they are posted onto the Site. Your continued use of this Site after any changes have been posted shall be deemed as your acceptance of the modified terms and conditions.

Where you are invited to submit any contribution to our Site (including any text, photographs, graphics, video or audio) you agree, by submitting your contribution, to grant to us a perpetual, royalty-free, non-exclusive, sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, play, make available to the public, and exercise all copyright and publicity rights with respect to your contribution worldwide and/or to incorporate your contribution in other works in any media now known or later developed for the full term of any rights that may exist in your contribution, and in accordance with privacy restrictions set out in our Privacy Policy. If you do not want to grant to us the rights set out above, please do not submit your contribution to our Site.

Further, by submitting your contribution to our Site you warrant that your contribution is your own original work and that you have the right to make it available to us for all the purposes specified above; it is not defamatory; and it does not infringe any law.

You will indemnify us against all legal fees, damages and other expenses that may be incurred by us as a result of your breach of the above warranty.

You waive any moral rights in your contribution for the purposes of its submission to and publication on our Site and the purposes specified above.

Contributions must be civil and tasteful
No disruptive, offensive or abusive behaviour: contributions must be constructive and polite, not mean-spirited or contributed with the intention of causing trouble
No unlawful or objectionable content: unlawful, harassing, defamatory, abusive, threatening, harmful, obscene, profane, sexually oriented, racially offensive or otherwise objectionable material is not acceptable
If you use multiple logins for the purpose of disrupting the message board/forum or annoying other users you may have action taken against your accounts
No spamming
No advertising
No impersonation
No inappropriate (e.g. vulgar, offensive etc) user names

We reserve the right to delete any contribution, or take action against any account, at any time, for any reason.

Please note the views expressed on our message boards/forums are those of members of the public and are not necessarily our views and we will not be liable for any such views or posts.

Reliance

All information included on the Site and through the services is intended for information purposes only and does not represent advice on which reliance should be placed, except when specifically stated. We therefore, disclaim all liability and responsibility arising from any reliance placed on such information by any user of the Site or services, or by anyone who may be informed of any of its contents.

Products and Services provided by us

We do not offer to sell to you any products or services appearing on the Site. Instead, we are inviting you to place an offer with us and we reserve the right to reject your offer for any reason. If we accept your order, we will notify you and a legally binding contract will be formed between us at the time of sending such notification to you.

Prices and availability of products and services are subject to change. In the event that we are unable to supply you with the products or services, you will receive a full refund. We are not obliged to offer you a refund in any other circumstances and any other refunds will be at our sole discretion.

While we try and ensure that all prices on the Site are accurate, errors may occur. If we discover an error we shall inform you as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If you cancel, and you have already paid for the products or services, you will receive a full refund.

All download products will be made available for you to download once your payment has been authorised. Please note that you are responsible for downloading the files and providing equipment to do so. Once you have paid for the downloads, we make them available to you for 24 hours to download a maximum of fives times through the download service on the website.

You can pay PayPal. Your credit card details will be encrypted to minimise the possibility of unauthorised access or disclosure. Authority for payment must be given at the time of order. You will be charged for items at this time.

The documents which are offered for download are protected by national and international copyright law. The download of such documents is permitted for your personal and business use only. Except for such rights of use, any copying, reproduction, lending or hiring, public performance, broadcasting or any other form of distribution of the downloads are prohibited and will constitute a copyright infringement.

Due to the standardised nature of the products made available through the Site we cannot guarantee that such products will meet your precise needs or circumstances.

We shall not be liable for any failure to perform any of its obligations under these Terms and Conditions where such failure is caused by matters beyond our reasonable control.

Indemnity

You shall indemnify us against any loss, liability, costs, expenses or damage suffered by us arising out of or in connection with a breach by you of any of these Terms and Conditions or your breach of any law or rights of any party.

Law

These Terms and Conditions and any disputes arising from or in connection with them shall be governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the Courts in England and Wales.

We do not make any promise that the materials on the Site are appropriate or available for use in locations outside the United Kingdom and using the Site from territories where its use or material or contents is unlawful is prohibited.

Should any part of these Terms and Conditions for any reason be declared invalid by a court of competent jurisdiction, such determination shall not affect the validity of any remaining portion and such remaining portion shall remain in full force and affect as if the invalid portion of these Terms and Conditions had been eliminated.
